1. Scope of Application

These General Terms and Conditions (GTC) apply to all services, consultations, offers, and contractual relationships between

Swiss Corporate Solutions Ltd.

(hereinafter referred to as “TrustCon”, “we” or “us”)

and its clients (hereinafter referred to as “Client”).

Deviating terms and conditions of the Client shall not apply unless expressly agreed to in writing by TrustCon.


2. Services of TrustCon

TrustCon provides, in particular, the following services:

  • Company formation services in domestic and international jurisdictions
  • Registered office services and director mandates
  • Backoffice as a Service (BaaS)
  • International tax and structuring consulting (non-legally binding)
  • Project-related information on blockchain, crypto, and mining topics
  • Coordination with external partners, banks, fiduciaries, and service providers

The specific scope of services results from the respective offer, agreement, or individual arrangement with the Client.


3. No Substitute for Legal, Tax, or Investment Advice

The services provided by TrustCon do not constitute legal advice, tax advice, or financial/investment advice within the meaning of regulated professional services.

All information is provided solely for general informational and structuring purposes. The Client is responsible for obtaining advice from duly licensed professionals (tax advisors, attorneys, financial advisors) before making decisions.


4. Conclusion of Contract

A contract is concluded through:

  • Written confirmation of an offer
  • Digital acceptance (e.g., via email)
  • Engagement of a service

TrustCon reserves the right to refuse orders without stating reasons.


5. Client’s Duty to Cooperate

The Client undertakes to:

  • Provide complete, accurate, and up-to-date information
  • Submit required documents in a timely manner
  • Inform TrustCon immediately of any relevant changes

TrustCon shall not be liable for delays or damages resulting from incomplete or incorrect information provided by the Client.


6. Fees and Payment Terms

All prices are net amounts unless otherwise stated.
TrustCon is not subject to VAT. The reverse-charge procedure applies where applicable.

Invoices are due immediately unless otherwise agreed.
In case of late payment, TrustCon reserves the right to:

  • Suspend services
  • Charge default interest
  • Terminate the contract without notice

7. Limitation of Liability

TrustCon shall only be liable in cases of intent or gross negligence.

Liability for indirect damages, loss of profit, additional tax assessments, regulatory changes, or decisions by authorities, banks, or third parties is excluded.

In particular, TrustCon assumes no liability for:

  • Rejection of bank account applications
  • Changes in tax or regulatory frameworks
  • Economic or financial developments

8. Third-Party Providers & Partners

TrustCon may cooperate with external partners (e.g., fiduciaries, banks, hosting providers, mining partners). TrustCon assumes no liability for services rendered by such third parties.

Contracts with third-party providers are concluded directly between the Client and the respective third party.


9. Confidentiality

Both parties undertake to treat all confidential information received in the course of cooperation as strictly confidential, unless disclosure is required by law.


10. Data Protection

Personal data is processed in accordance with our Privacy Policy, available on the TrustCon website.


11. Term and Termination

Unless otherwise agreed:

  • Services apply on a project basis or for an indefinite term
  • Ongoing contracts may be terminated with 30 days’ notice

Services already rendered remain payable.


12. Intellectual Property

All content, concepts, texts, graphics, and documents provided by TrustCon are protected by copyright law. Any reproduction or use without express consent is prohibited.


13. Amendments to the GTC

TrustCon reserves the right to amend these GTC at any time. The version valid at the time of contract conclusion shall apply.


14. Governing Law and Jurisdiction

English law shall apply, excluding conflict of law provisions.
The place of jurisdiction, to the extent legally permissible, shall be England (UK).


15. Severability Clause

Should any provision of these GTC be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
